The NB Aurora investment fund, based in Luxembourg and listed in Italy on the Euronext MIV Milan segment (professional segment with the aim of investing in unlisted small and medium-sized companies), which has supported Dierre Group since 2019, has signed an agreement to the sale of the entire stake held in the Alto Capital V fund, managed by Alto Partners SGR.
The closing of the operation, which amounts to approximately 108 million euros, is expected within the first two months of 2024.
Nb Aurora, confirming its commitment to Dierre Group, will reinvest part of the proceeds from the sale (up to 10 million euros), remaining a minority shareholder. Also the founder and President of the Group Giuseppe Rubbiani will proceed with the sale of his stake, reinvesting a significant minority stake in Dierre Group.
Giuseppe Rubbiani, commented: “We are opening a new, very complex and highly transformative industrial project for Dierre, continuing with determination in the pursuit of increasingly ambitious objectives. We are aware of the great commitment that will be required, but thanks to a group of determined and professional people, we will be able to achieve our goals."
Lorenzo Carù, Managing Director of Neuberger Berman, underlined: “We are convinced that Dierre still has a lot of potential to express thanks to a successful team and continuous technological innovation aimed at finding increasingly efficient solutions for the customer. This is why we remain invested according to our philosophy of long-term, patient investors."
Gianmarco Gandolfi, partner and board member of Alto Partners, added: “We have appreciated the work done by Rubbiani and his team in the last years and we are flattered to be able to support them in this further and stimulating path of growth and internationalization towards European leadership of the Group Dierre.”
For Dierre Group, leader in industrial security and automation solutions, and Alto Capital, independent fund with over 20 years of experience in Private Equity, a new and stimulating collaboration begins based on quality, professionalism and reliability for a medium-to-large term project of further growth and development.
